Jakarta – Owner of part of the shares in PT Blue Bird Taxi, Mintarsih Abdul Latief said he is part of the Board of Directors of PT Blue Bird Taxi which is the parent company of PT Blue Bird Tbk.

She explains that PT Blue Bird Taxi was founded in 1971, so it is more than 50 years old. Meanwhile, PT Blue Bird Tbk was only founded in 2001.

“I used to be part of the Board of Directors of PT Blue Bird Taxi, which is the parent of PT Blue Bird Tbk. PT Blue Bird Taxi was founded in 1971. Meanwhile, PT Blue Bird Tbk was only founded in 2001, so PT Blue Bird Taxi is already 50 years old more years,” said Mintarsih to journalists in Jakarta, Friday 29 September 2023.

Mintarsih and lawyer Kamaruddin Simanjuntak arrived for clarification at Bareskrim Polri, before the reported party Purnomo Prawiro was summoned to undergo examination, Monday 25 September 2023.

The doctor who specializes in mental health or Psychiatry explains, “Now let’s look at the history. After PT Blue Bird Taxi was 30 years old, secretly, two of its eight shareholders founded PT Blue Bird (without the word Taxi) whose entire operations use facilities from PT Blue Bird Taxi.”

“Starting from the logo and brand, customers, radio communication system equipment, computerization, workshop equipment, main building, pool, to the best drivers and employees, everything was taken from PT Blue Bird Taxi to be transferred to PT Blue Bird Tbk. Transition “slowly this then dwarfed PT Blue Bird Taxi which functions as the host of PT Blue Bird Tbk,” she explains.

Mintarsih further explained that his shares are his rights and will continue to be fought for.

“Let’s also look at the loss of my assets in the form of shares in CV Lestiani and PT Blue Bird Taxi. It all started after I resigned as a director at CV Lestiani which owned 45 percent of the shares in PT Blue Bird Taxi. However, by resigning as director, it turns out “My assets and rights were also lost at CV Lestiani and at PT Blue Bird Taxi. So you can imagine that from a legal perspective this doesn’t make sense, but in reality it happens,” explains Mintarsih.

So after sending a summons to PT Blue Bird Tbk together with its lawyer, namely Kamaruddin Simanjuntak, and as time passed, legal action was finally taken.

“This is what I am asking about and what I am reporting to the National Police Headquarters. What happens when someone only steps down as administrator but their assets are all lost, and even transferred to another party,” she said.

He adds, “If something like this could happen to me, it is not impossible that a similar thing could also happen to other business people. Imagine if this happened to investors, both local and foreign, who are expected to invest their capital for economic growth in Indonesia. “This case that I experienced could set a bad precedent for the health of running a business in this country,” she concluded.

Previously, Legal Expert Prof. Dr. Wila Chandrawila Supriadi SH said that shares will not disappear by themselves if someone resigns from a company, because there are standard rules governing them.

“The transfer of shares is notarized, through a GMS (General Meeting of Shareholders), and if later during the investigation it is proven that there was a transfer of shares without the knowledge of the original share owners, then that (in the realm of law) is criminal,” said Prof. Wila to journalists in Jakarta, Thursday 7 September 2023.

It was explained again that the Civil Code in book 2 also regulates this matter. “Regarding material things, these objects consist of goods and rights. Shares are rights, so the ownership rights are in the form of rights. For example, if he sells them, of course everything is based on the GMS. If they are sold, they are notarized, yes, the sale of shares. Without a notary it is not “There is a sale of shares. As for the crime, for example the notary (was) involved in falsifying and all kinds of things, that’s a criminal matter,” said Professor of Law at Parahyangan University, Prof. Dr. Wila Chandrawila Supriadi SH.

Mintarsih: PT Blue Bird Taxi Adalah Induk dari PT Blue Bird Tbk

Pemilik sebagian saham di PT Blue Bird Taxi, Mintarsih Abdul Latief mengatakan dirinya adalah bagian dari jajaran Direksi PT Blue Bird Taxi yang merupakan induk dari PT Blue Bird Tbk.

Dijelaskannya PT Blue Bird Taxi didirikan tahun 1971, jadi sudah berusia 50 tahun lebih. Sementara PT Blue Bird Tbk baru didirikan pada tahun 2001.

“Saya dulu merupakan bagian dari jajaran Direksi PT Blue Bird Taxi, yang menjadi induk dari PT Blue Bird Tbk. PT Blue Bird Taxi didirikan tahun 1971. Sementara PT Blue Bird Tbk itu baru didirikan tahun 2001, jadi PT Blue Bird Taxi ini usianya sudah 50 tahun lebih,” ujar Mintarsih kepada wartawan di Jakarta, Jumat 29 September 2023.

Dokter spesialisasi dalam bidang kesehatan mental atau Psikiatri itu menjelaskan, “Sekarang mari kita lihat sejarahnya. Setelah PT Blue Bird Taxi berusia 30 tahun, secara diam-diam, dua dari delapan pemegang sahamnya mendirikan PT Blue Bird (tanpa kata Taxi) yang seluruh operasionalnya menggunakan fasilitas dari PT Blue Bird Taxi.”

“Mulai dari logo dan merek, pelanggan, peralatan sistem radio komunikasi, komputerisasi, peralatan bengkel, gedung utama, pool, hingga pengemudi-pengemudi dan karyawan-karyawan terbaik, semua diambil dari PT Blue Bird Taxi untuk dipindahkan ke PT Blue Bird Tbk. Peralihan secara perlahan ini yang kemudian mengkerdilkan PT Blue Bird Taxi yang berfungsi sebagai inang dari PT Blue Bird Tbk,” paparnya.

Lebih lanjut diterangkan Mintarsih soal saham miliknya yang merupakan hak dia dan masih akan terus diperjuangankan.

“Mari kita lihat juga tentang hilangnya harta saya berupa saham di CV Lestiani dan PT Blue Bird Taxi. Semua berawal setelah saya mengundurkan diri sebagai direksi di CV Lestiani yang memiliki 45 persen saham di PT Blue Bird Taxi. Tetapi, dengan mundur sebagai direksi, ternyata harta dan hak saya juga dihilangkan di CV Lestiani maupun di PT Blue Bird Taxi. Jadi bisa dibayangkan, bahwa sebetulnya dari segi hukum hal itu tidak masuk akal, tapi kenyataannya terjadi,” ulas Mintarsih.

Sehingga usai melayangkan somasi ke PT Blue Bird Tbk bersama pengacaranya yaitu Kamaruddin Simanjuntak, dan berjalannya waktu, upaya hukum akhirnya ditempuh.

“Ini yang saya persoalkan dan yang saya laporkan ke Mabes Polri. Bagaimana ketika seseorang hanya mundur sebagai pengurus tapi hartanya dihilangkan semua, dan bahkan dialihkan ke pihak lain,” ujarnya.

Ditambahkan lagi, “Kalau hal seperti ini bisa terjadi pada saya, bukan tidak mungkin hal serupa bisa terjadi juga pada pebisnis lainnya. Bayangkan bila ini terjadi pada para investor baik lokal maupun asing yang justru sedang diharapkan untuk menanamkan modal mereka demi pertumbuhan perekonomian di Indonesia. Kasus yang saya alami ini bisa menjadi preseden buruk bagi kesehatan menjalankan usaha di negeri ini,” pungkasnya.

Sebelumnya Pakar Hukum Prof. Dr. Wila Chandrawila Supriadi SH mengatakan saham tidak akan hilang dengan sendirinya, apabila seseorang mengundurkan diri dari sebuah perusahaan, sebab ada aturan baku yang mengatur.

“Pengalihan saham itu ada notarisnya, melalui RUPS (Rapat Umum Pemegang Saham), dan jika nanti dalam pemeriksaan terbukti ada pengalihan saham yang tanpa diketahui oleh pemilik saham asli, maka itu (ranahnya hukum) pidana,” ujar Prof. Wila kepada wartawan di Jakarta, Kamis 7 September 2023.

Dijelaskan lagi, bahwa di dalam Kitab Undang-Undang Perdata di buku 2, juga mengatur tentang hal tersebut. “Tentang kebendaan, benda itu terdiri dari barang dan hak. Saham itu hak, jadi hak kepemilikannya itu dalam bentuk hak. Umpamanya dia jual, itu tentunya berdasarkan RUPS semuanya itu, kalau dijual, notarial ya, penjualan saham itu. Tanpa adanya notaris itu tidak ada penjualan saham. Kalau pidananya, misalkan notarisnya (ikut) terlibat memalsukan dan segala macem itu urusan dari pidana,” ungkap Guru Besar Ilmu Hukum Universitas Parahyangan Prof. Dr. Wila Chandrawila Supriadi SH.
